Welcome to Chimnini. The terms "we," "us," and "our" refer to Chimnini. Chimnini operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Chimnini is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein (these "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our [Privacy Policy]. If you do not agree, you should not use or access our Services.

Section 1 — Access and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your place of residence, and that you have given consent for any minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, you may be asked to provide information such as your email address, billing, payment, and shipping details. You represent that all information you provide is correct, current, and complete, and that you have the right to provide it.

Section 2 — Our Products

We make every effort to accurately represent our products in our online store. Please note that colors or product appearance may differ from how they appear on your screen, depending on your device and display settings.

Product images and mockups. Some product images, mockups, or renderings displayed on this site may be generated in whole or in part using artificial intelligence (AI) tools rather than photographed from a physical sample. Where this is the case, the listing will indicate that the image is a digital mockup/rendering. AI-generated mockups are intended to give an accurate representation of the finished product's design, placement, and colorway, but minor differences between the rendering and the physical item (for example, fabric texture, exact shade, or print finish) may occur.

All product descriptions are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities offered to any person, region, or jurisdiction.

Section 3 — Made-to-Order Production

Most items sold by Chimnini are printed or produced on demand after you place your order — they are not held in pre-made inventory. Because of this:

• Orders typically require 3–7 business days of production time before they are handed to a shipping carrier. This is separate from, and in addition to, shipping transit time.
• Once an order enters production, we may be unable to change or cancel it. Please review your order carefully — including size, color, and design — before submitting.
• Estimated delivery dates shown at checkout are estimates only and include both production and shipping time; they are not guaranteed.

Section 4 — Orders

When you place an order, you are making an offer to purchase. Chimnini reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Chimnini confirms it, and we must receive and process payment before acceptance. If we are unable to accept, modify, or must cancel an order, we will attempt to notify you using the email, billing address, or phone number provided at checkout.

Purchases are subject to return or exchange solely in accordance with our [Refund Policy] — see also Section 5 below regarding made-to-order goods.

You represent that your purchases are for your own personal or household use, not for commercial resale or export.

Section 5 — Returns, Exchanges, and Custom/Printed Goods

Because most Chimnini products are made to order specifically for you, items are generally not eligible for return or exchange for reasons of personal preference (e.g., change of mind, incorrect size chosen, or dissatisfaction with a color/design you selected), except where required by applicable law.

We will provide a replacement, correction, or refund at our discretion if:

• the item arrives damaged or defective;
• the item received materially differs from what you ordered (wrong product, wrong size shipped, or a significant printing/production error not disclosed at time of sale); or
• the order is lost in transit and confirmed as such by the carrier.

For damaged, defective, or wrong items, please contact us with photos as soon as you notice the issue. For items lost in transit, claims must be submitted within 30 days of the estimated delivery date. Contact details are in Section 26. Full terms — including exclusions for buyer's remorse, packages marked "delivered" but reported not received, and incorrect shipping addresses — are set out in our [Refund Policy, which forms part of these Terms.

Section 6 — Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged is the price in effect at the time your order is placed, as set out in your order confirmation email. Unless stated otherwise, posted prices do not include taxes, shipping, handling, customs, or import charges.

Prices in our online store may differ from prices in physical stores or other channels. Promotions may be governed by separate terms; where those terms conflict with these Terms, the promotion terms govern.

You agree to provide current, accurate billing and payment information, and to keep it updated. You represent that (i) your payment information is true and complete, (ii) you are authorized to use the payment method provided, (iii) charges will be honored by your payment provider, and (iv) you will pay all charges at posted prices, including shipping, handling, and applicable taxes.

Section 7 — Shipping and Delivery

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

Section 8 — Intellectual Property

Our Services, including all trademarks, brand names, text, displays, images, graphics, product mockups, and their design, selection, and arrangement, are owned by Chimnini, its affiliates, or its licensors, and are protected by Philippine and foreign intellectual property law, including the Intellectual Property Code of the Philippines (Republic Act No. 8293).

These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent. Nothing in these Terms grants you a license or right under any patent, trademark, copyright, or other intellectual property of Chimnini, Shopify, or any third party, except as expressly stated. All rights not expressly granted are reserved by Chimnini.

Chimnini's names, logos, product names, designs, and slogans are trademarks of Chimnini, its affiliates, or licensors, and may not be used without our prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify. All other names, logos, and marks on the Services belong to their respective owners.

Section 9 — Optional Tools

You may be given access to customer tools offered by third parties as part of the Services, which we do not monitor or control. We provide access to such tools "as is" and "as available," without warranties of any kind, and without endorsement. We have no liability arising from your use of optional third-party tools; use of them is at your own risk. New features we add to the Services in the future are also subject to these Terms.

Section 10 — Third-Party Links

The Services may contain links to third-party websites. We are not responsible for evaluating the content or accuracy of any third-party materials, and accessing them is at your own risk. We are not liable for any harm related to your use of third-party sites, products, or services. Review third-party policies carefully; disputes with third parties should be directed to them.

Section 11 — Relationship with Shopify

Chimnini is powered by Shopify, which enables us to provide the Services to you. Any sales you make in our store are made directly with Chimnini. Shopify is not responsible for any aspect of sales between you and Chimnini, including injury, damage, or loss resulting from purchased products. You release Shopify and its affiliates from claims, damages, and liabilities arising from your purchases and transactions with Chimnini.

Section 12 — Privacy Policy

All personal information we collect is subject to our [Privacy Policy]; certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and other third parties, including those located outside the Philippines, in order to provide the Services.

Section 13 — Feedback

If you submit ideas, suggestions, reviews, or other content ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and display such Feedback for any purpose, including commercial use, without obligation to compensate you or keep it confidential.

You represent that you own or have rights to your Feedback, that it does not violate any third-party right, and that it will not contain unlawful, defamatory, obscene, or malicious content. We may, but are not obligated to, monitor, edit, or remove Feedback at our sole discretion.

Section 14 — Errors, Inaccuracies, and Omissions

Occasionally there may be typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, or availability. We reserve the right to correct these, and to change, update, or cancel orders based on inaccurate information, at any time without prior notice, including after an order has been submitted.

Section 15 — Prohibited Uses

You may access and use the Services for lawful purposes only. You may not use the Services to: violate any law or regulation; infringe our intellectual property or that of others; harass, defame, or harm any person; transmit false or misleading information; send spam or unsolicited promotional material; impersonate any person or entity; or engage in conduct that restricts others' use of the Services or exposes us to liability.

You further agree not to: upload viruses or malicious code; scrape, extract, or resell any portion of the Services; collect others' personal information without consent; or use bots, scrapers, or automated/AI agents to access the Services except as expressly permitted under Section 16. We may suspend or terminate your account at any time if we determine you have violated these Terms.

Section 16 — Automated Agents

This section applies if you use or deploy any software or service that takes autonomous or semi-autonomous action on your behalf to access or interact with the Services ("Agent").

An Agent may not access or use the Services unless it: (i) identifies itself as an Agent in its request headers; (ii) does not conceal that it is automated (including by mimicking human behavior or bypassing bot-detection measures); (iii) responds truthfully to any prompt asking whether it is automated; and (iv) does not circumvent measures we use to control Agent access. We may limit or block Agent access at our discretion.

Section 17 — Termination

We may terminate this agreement or your access to the Services at any time, in our sole discretion, without notice, and you remain liable for all amounts due as of the date of termination.

Sections that by their nature should survive termination will continue to apply, including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Governing Law, and Privacy Policy.

Section 18 — Disclaimer of Warranties

Information on the Services is provided for general purposes only. We do not warrant its accuracy, completeness, or usefulness, and any reliance on it is at your own risk.

Except as expressly stated, the Services and all products offered through them are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by Philippine law. We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free.

Section 19 — Limitation of Liability

To the fullest extent permitted by applicable law, Chimnini, its partners, officers, employees, affiliates, agents, and service providers, and those of Shopify, will not be liable for any indirect, incidental, punitive, special, or consequential damages — including lost profits, lost revenue, or lost data — arising from your use of the Services or any product procured through them, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. Nothing in this section limits any right you may have under the Philippine Consumer Act (Republic Act No. 7394) that cannot lawfully be excluded.

Section 20 — Indemnification

You agree to indemnify and hold harmless Chimnini, Shopify, and our respective affiliates, officers, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law or third-party right, or your use of the Services.

Section 21 — Severability

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remainder of these Terms will remain in effect.

Section 22 — Waiver; Entire Agreement

Our failure to enforce any provision of these Terms is not a waiver of that provision. These Terms, together with any policies referenced herein, constitute the entire agreement between you and Chimnini regarding your use of the Services, superseding any prior agreements or communications.

Section 23 — Assignment

You may not transfer or assign these Terms or your rights under them without our prior written consent. We may transfer or assign these Terms without notice to you.

Section 24 — Governing Law

These Terms are governed by the laws of the Republic of the Philippines, including but not limited to the Consumer Act of the Philippines (Republic Act No. 7394) and the Electronic Commerce Act (Republic Act No. 8792). You and Chimnini agree to submit to the exclusive jurisdiction of the proper courts of  Marawi City, Lanao del Sur, Philippines, for any dispute arising from these Terms.

Section 25 — Changes to These Terms

We may update these Terms at any time by posting changes to this page. It is your responsibility to check periodically for updates. Your continued use of the Services after changes are posted constitutes acceptance of those changes.
